Gene Yoon, Managing Partner

Gene Yoon is the Managing Partner of Bregal Sagemount. Prior to founding Bregal Sagemount, he was the Head of Private Equity for Goldman, Sachs & Co.’s Americas Special Situations Group, where he focused on middle market growth equity investing. Before Goldman Sachs, Gene was a Partner at Great Hill Partners, a private equity firm specializing in the media, communications, technology, and business services sectors. Earlier in his career, he was Director of Corporate Development at Geocast Network Systems, a venture-backed technology infrastructure provider. Gene began his career at Donaldson, Lufkin & Jenrette in investment banking. He holds both a BS in economics and an MBA from The Wharton School at the University of Pennsylvania.

Adam Fuller, Partner

Adam Fuller is a Partner and Co-Founder at Bregal Sagemount. Prior to co-founding Bregal Sagemount, Adam spent five years with the growth equity team at Goldman, Sachs & Co.’s Merchant Banking Division. Before Goldman Sachs, Adam was an Associate at Arbor Advisors, a boutique tech investment bank focused on mergers & acquisitions. Adam received a BA in economics from Stanford University.

Blair Greenberg, Partner

Blair Greenberg is a Partner at Bregal Sagemount. Prior to joining Bregal Sagemount, Blair worked as an investment professional at Technology Crossover Ventures (TCV) where he focused on investing in technology and financial services companies. Before TCV, Blair worked for UBS Investment Bank in the Financial Institutions Group. Blair received a BS in business administration with a concentration in finance from the Kelley School of Business at Indiana University, graduating with High Distinction, and an MBA with concentrations in finance, management & strategy, and marketing from the JL Kellogg Graduate School of Management at Northwestern University.

Mike Kosty, Partner

Michael Kosty is a Partner and Co-Founder at Bregal Sagemount, where he is focused on originating and underwriting investments in the software, digital infrastructure, financial technology, business services, and consumer services sectors. Prior to joining Bregal Sagemount, Michael worked as an investment professional in Goldman, Sachs & Co.’s Americas Special Situations Group. Michael received a BSBA in finance and accounting with honors from Georgetown University.

Clayton Main, Partner

Clayton Main is a Partner at Bregal Sagemount. Prior to joining Bregal Sagemount, Clayton spent twelve years at Goldman, Sachs & Co., where he was one of the founding team members of the Goldman Sachs Specialty Lending Group within Goldman’s Special Situations Group. While at Goldman Sachs, he was responsible for originating, structuring, and managing senior debt, second lien debt, mezzanine debt, and structured equity investments on behalf of the firm’s balance sheet. Clayton led the group’s business development efforts in the South and was responsible for originations in software, financial technology, data infrastructure, healthcare, and business service verticals. He graduated magna cum laude, Honors in business, with a BBA from Southern Methodist University.

Scott Simpson, Partner, Head of Credit

Scott Simpson is a Partner and Head of Credit at Bregal Sagemount. Scott has over 25 years of strategic advisory, leveraged finance and principal investing in over 100 transactions totaling over $60 billion across sectors, with an expertise in technology, media and telecom. Prior to joining Bregal Sagemount, Scott was an early investment team member, Partner, and Head of Originations at Brightwood Capital Advisors. Scott also held senior leadership positions in the technology, media, and telecom groups of Donaldson, Lufkin & Jenrette, Credit Suisse, and Citigroup. Notably, Scott was a member of the Global Technology Council at Citigroup and led emerging communications, enterprise, and internet infrastructure coverage at Citigroup and Credit Suisse. Scott started his career in the Worldwide Technology Group at Booz-Allen & Hamilton. Scott received a BS in mechanical engineering from the University of Maryland, College Park and an MBA from Columbia Business School.

Pavan Tripathi, Partner

Pavan Tripathi is a Partner and Co-Founder at Bregal Sagemount. Prior to Bregal Sagemount, Pavan was an investment banker and private equity investor at Goldman Sachs & Co. Most recently, he was a member of the growth equity team in Goldman Sachs’ Merchant Banking Division. Pavan graduated summa cum laude from the University of California, Los Angeles with a BS in electrical engineering and a BA in Economics, and received an MBA from the Stanford University Graduate School of Business.

Phil Yates, Partner

Phil Yates is a Partner at Bregal Sagemount. Prior to this, Phil was with Great Hill Partners from 2003 to 2012 where he focused on growth investments in software and technology-enabled services across the healthcare, payments, business services and consumer verticals. Before Great Hill Partners, Phil was at Carousel Capital, a middle market private equity firm headquartered in Charlotte, NC where he worked on transactions in franchising, healthcare, industrials, and communications. Phil started his career with Deutsche Banc Alex. Brown in the Consumer and Business Services investment banking group. Phil holds a BS in business administration with honors from the University of North Carolina at Chapel Hill.

Capital Responsibility

As a PRI signatory, Bregal Investments Inc. (“Bregal”) and Bregal Sagemount (“Sagemount” or the “Firm”) recognize the impact that private equity investments may have on the environment and society, and is committed to investing responsibly, considering ESG issues throughout the lifecycle of its investments. By engaging with portfolio companies throughout the investment lifecycle, Sagemount aims to ensure improvements to ESG performance and alignment with the Sagemount Standard by the point of exit. 

With respect to the Firm’s decision-making process, material ESG risks and opportunities are assessed during pre-investment due diligence and ESG screening. These are subsequently raised and discussed during the Investment Committee meetings. In the Investment Committee memos, a mandatory ESG section is included in which the relevant ESG risks and opportunities are addressed. Bregal’s Head of ESG & Responsible Investing participates in the Investment Committee meetings to ensure that the relevant ESG aspects are considered during the investment decision-making process. 

During the lifecycle of each investment, the Firm supports its management teams to strive for continuous improvements in ESG performance, to move beyond compliance and to embed ESG considerations in each company’s strategy. Sagemount routinely assesses the ESG performance and progress of portfolio companies and partners with them to achieve the Sagemount ESG Standard, which underpins Sagemount’s ESG program. The Standard is a proprietary framework based on leading industry and regulatory frameworks focused on ensuring quality ESG performance. The ESG Standard is often a component of the value enhancement plan or the Alpha Plan that the deal team and Growth Factors team prepares. Growth Factors Associates is an independent third-party consulting firm that contracts with individual portfolio companies to provide its services. Management teams are encouraged to implement a detailed company specific ESG Roadmap as part of a 100-day plan across three different components. These include, but are not limited to:

The goal of Sagemount’s ESG program is for all companies to achieve the Sagemount ESG Standard during the ownership period. Management teams are supported via regular check-ins, tools and resources (such as the Bregal Helps Initiative and Sustainable Development Fund) and access to Bregal Investments ESG team.

Sagemount tracks ESG key performance indicators (KPIs) that are part of achieving the ESG Standard. These indicators are: 

  • Existence of Code of Conduct, Anti-Bribery & Corruption, Whistle blower, Privacy and Security Policies and other relevant governance policies 
  • Employee engagement survey and Employee Net Promoter Score (Y/N)
  • Diversity, equity and inclusion data and processes for hiring and retention 
  • Scope 1 and 2 emissions and as relevant Scope 3 emissions 
  • # of companies that have set science-based targets
  • Cyber security: # of companies with E&O insurance coverage of $10m
  • FTEs and net new hires 

In January 2022, Bregal and Sagemount joined the ESG Data Convergence Project, an industry standard for alignment on ESG metrics set out by the ILPA. Sagemount reported its data to EDCI for the first time in 2023.
